OFFICIAL RULES

Rules & Regulations:

1. No purchase necessary to enter. The contest begins Tuesday, Dec. 13th, 2011 at 12:01pm, and runs until Friday, May 11th, 2012 at 11:59pm. Entries must be received by 11:59 pm (ET) on May 11th, 2012. Entries become the property of the Niagara Social Project founding partners (Founding Partners) and will not be returned or acknowledged. Information on how to enter and prizes form part of these official rules (“Official Rules”). This is a skill-based contest and chance plays no part in the determination of winners.

2. TO ENTER: The Niagara Social Project is looking for members of the Niagara community (Canada) to submit their own video clips that promote the Niagara Region. To enter, visit www.niagarasocialproject.com/contest. and complete all required fields (including a link to a video hosted on Youtube) on the registration form. For this contest, there is a limit of one (1) contest entry per person. Video entries are to include a self-written, original verse for the “Niagara Song” being sung, or alternatively, a creative rendering of the Niagara Song chorus.

3. There is 1 (one) grand prize to be won of  $1,000 cash, courtesy of PenFinancial Credit Union. Additionally, entrants have the chance to be included in a remix music video following the close of the contest.

4. Prizes will be awarded by the Niagara Social Project founding partners’ panel. The panel of Niagara Social Project founding partners with experience in video will evaluate the entries based on the following criteria (“Judging Criteria”):

  • a) Creativity 50%
  • b) Quality 50%

 5. In the event of ties, the Video with the highest in the “Creativity” score will be deemed the winner. If ties still remain, the highest in the “Quality” score will be deemed the winner. If ties still remain, the tied entries will be rejudged based on the same criteria outlined above.

6. Judging will take place on or about May 15, 2012, and the selected entrants will be notified in writing on or about May 17, 2012. Decisions of the founding partners and judges are final and binding. Winners must respond within 14 days, or they forfeit their prize and the runner-up will be contacted.

7. Contest is open only to legal residents of Canada (excluding Quebec) and the United States who have reached the age of majority in the province or territory or state in which they reside. Employees of the founding partners, Founding Partners, their affiliates and subsidiaries, and their immediate family members (spouse, parent, child, sibling and their respective spouses, regardless of where they live) or persons living in the same households of such individuals, whether or not related, are not eligible to enter or win a prize. CONTEST IS VOID IN QUEBEC AND WHERE PROHIBITED.

8. The video clip and the verse must be an original work created by the Contest entrant. By entering the Contest, entrant represents, acknowledges and warrants that the submitted video and the verse or chorus are original works created solely by the entrant and that no other party has any right, title, claim or interest in the video and the verse or chorus.

9. Obscene, provocative, or otherwise objectionable content will not be considered, and such determination is solely at the discretion of the founding partners.

10. Instructions for entering the contest as well as downloading the consent forms and/or other releases as requested by Founding Partners (collectively, the "Releases") can be found on the www.contest.niagarasocialproject.com

11. The recommended length of submitted videos is up to 4 minutes.

12. Any original music and lyrics developed for the contest remains the full rights of the creator(s), and will not be property of the Founding Partners. However, by entering the Contest, all winners (and their respective parents and legal guardians) grant a royalty-free, irrevocable, perpetual, non-exclusive license to Founding Partners, its designees, licensees and affiliates (“Authorized Parties”), to reproduce, distribute, display and create derivative works of the video and the verse or chorus (along with a name credit) in connection with the Contest and promotion of the Contest, in any media now or hereafter known, including, but not limited to: Display at a potential exhibition of winners; publication in various marketing materials highlighting entries or winners of the Contest. Entrants (and their respective parents and legal guardians) further hereby waive all moral rights in and to the video and the verse in favor of Founding Partners. Authorized Parties will not be required to pay any additional consideration or seek any additional approval in connection with such use.

13.THE POTENTIAL WINNERS ARE REQUIRED TO EXECUTE THE FOLLOWING: (1) A DECLARATION (OR, IN THE CASE OF USA RESIDENTS, AN AFFIDAVIT) OF ELIGIBILITY AND LIABILITY RELEASE; (2) WARRANTY OF OWNERSHIP AND LICENSE; (3) PUBLICITY RELEASE; AND (4) ANY OTHER AFFIDAVITS, DECLARATIONS AND/OR RELEASES OR ADDITIONAL DOCUMENTS THAT MAY BE REQUIRED BY PRIZE SUPPLIER(S). UNLESS PROHIBITED BY LAW, THE POTENTIAL WINNER MUST SIGN THESE DOCUMENTS NO LATER THAN 14 DAYS FROM THE DATE OF RECEIPT OF PRIZE NOTIFICATION IN ORDER FOR SPONSOR TO AWARD THE PRIZE. THAT A DVD COPY/OR ACCESS TO RAW VIDEO FILE OF THEIR ENTRY MAY BE REQUESTED, AND AGREES TO PROVIDE THE FILES IN A PROMPT AND ACCOMMODATING MANNER.  NONCOMPLIANCE OR RETURN OF PRIZE NOTIFICATION AS UNDELIVERABLE MAY RESULT IN DISQUALIFICATION AND, AT SPONSOR’S DISCRETION, SELECTION OF AN ALTERNATE WINNER.

14. Prize must be accepted as awarded. No substitution or transfer of prizes is allowed. The Niagara Social Project is not responsible for lost or stolen prizes.

15. Prize must be claimed within 14 days of winner being contacted.

16. The Niagara Social Project and its Founding Partners are not responsible for telephone, technical, network, online, electronic, computer hardware or software failures of any kind, or for entries that are stolen, misdirected, incomplete, garbled or delayed by computer transmissions on account of technical problems or traffic congestion on the Internet or at any Web site, or any combination thereof, including any injury or damage to participants' or any other person’s computer resulting from downloading of any materials or participation in this contest. Founding Partners shall, in its absolute discretion, disqualify any individual found to be tampering with the operation of the Web site or the administration of the contest. If for any reason the contest is not capable of running as planned, or if the administration, security, fairness, integrity, or proper conduct of the contest is corrupted or adversely affected, including by reason of infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any causes beyond its control, Founding Partners reserves the right to cancel, terminate, modify or suspend the contest, including cancellation of the method of entry and selection of a winner from previously received entries.

17. The Niagara Social Project Founding Partners reserve the right to discontinue this contest at any time.

18. CONDITIONS: This Contest is subject to federal, state, provincial, territorial and local laws and regulations. Certain restrictions may apply. Founding Partners are not responsible for late, lost, stolen, damaged, mutilated, incomplete, illegible, misdirected, or postage-due mail. Entries void if the Founding Partners determines the entry to not be an original, or if the entries are illegible, incomplete, damaged, irregular, altered, counterfeit, produced in error or obtained through fraud or theft.

Entrants also agree (a) to be bound by these Official Rules; (b) that the decisions of the judges are final on all matters relating to the Contest; and (c) if he/she wins that Founding Partners may use the winning video and each winner’s name, photograph, likeness, and/or voice in any publicity or advertising relating to the Contest or future promotions without compensation or approval (except where prohibited by law). All taxes, fees and surcharges on prizes are the sole responsibility of the prize winners. In the event that the selected winner(s) of any prize are/is ineligible or refuses the prize, the prize will be forfeited and Founding Partners, in their sole discretion, may choose whether to award the prize to another winner.

19. THIRD PARTY RELEASES: If the video contains any material or elements that are not owned by the entrant and/or which are subject to the rights of third parties, and/or if any persons appear in the Video, the entrant is responsible for obtaining, prior to submission of the video, any and all releases and consents necessary to permit the exhibition and use of the video in the manner set forth in these Official Rules without additional compensation. If any person appearing in any video is under the age of majority in their state/province/territory of residence the signature of a parent or legal guardian is required on each release.

Upon Founding Partners’ request, each entrant must be prepared to provide (within 7 calendar days of receipt of Sponsor’s request) a signed release from all persons who appear in the video submitted, and/or from the owner of any material that appears in the photograph entry, authorizing the Authorized Parties to reproduce, distribute, display and create derivative works of the video in connection with the Contest and promotion of the Contest, in any media now or hereafter known. All releases must be in the form provided by Founding Partners. Failure to provide such releases upon request may result in disqualification at any time during the Contest and selection of an alternate winner.

Similarly, upon Founding Partners’ request, each entrant must be prepared to provide (within 7 calendar days of receipt of Sponsor’s request) a signed written license from the copyright owner of any sculpture, artwork or other copyrighted material that appears in the video entry, authorizing any Authorized Party to reproduce, distribute, display and create derivative works of the entry in connection with the Contest and promotion of the Contest, in any media now or hereafter known. All releases must be in the form provided by Founding Partners. Failure to provide such releases upon request may result in disqualification and selection of an alternate winner.

Finally, upon Founding Partners’ request, each entrant must be prepared to provide (within 7 calendar days of receipt of Founding Partners’ request) a signed written license from the owner of any private property included in the video entry, authorizing any Authorized Party to reproduce, distribute, display and create derivative works of the entry in connection with the Contest and promotion of the Contest, in any media now or hereafter known. All releases must be in the form provided by Founding Partners. Failure to provide such releases upon request may result in disqualification and selection of an alternate winner.

20. For the purposes of these Official Rules, the entrant will be deemed to be in receipt of Founding Partners’ request or notification, (a) in the event that Founding Partners sends the request by postal mail, five business days after the request was sent by Founding Partners, or (b) in the event that Founding Partners sends the request by e-mail, on the day that the e-mail was sent by Founding Partners. For greater certainty, the entrant will be deemed to be in receipt when notification or request is sent to entrant him/herself.

21. LIMITATION OF LIABILITY: By participating, entrants (and their parents or legal guardians) agree to release, discharge and hold harmless Founding Partners, their partners, affiliates, subsidiaries, agents and their employees, officers, directors, and representatives from any claims, losses, and damages arising out of their participation in this Contest or any Contest-related activities and the acceptance and use, misuse, or possession of any prize awarded hereunder.

22. The views and comments expressed in these videos are the opinions and creative decisions made of those specific individuals, and do not reflect the opinions and positions of all individuals in Niagara, or of those involved with the Niagara Social Project.

23. Entrant understands and agrees his/her video submission may receive exposure on various web sites and may be subjected to comments and popularity ratings from the public at large. Founding Partners are not responsible in any manner for any critical or derogatory remarks posted by the public pertaining to an Entrant or an Entrant's video.
